CTRLWORK LTD End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a binding contract between you (either an individual or a single entity) ("You" or "Your") and CTRLWORK LTD, a Private Limited by Shares company registered in the United Kingdom (company number 16536713), with its principal place of business at 5 Sayers Court, London, England, United Kingdom ("CTRLWORK LTD").

By downloading, installing, copying, or otherwise using the software known as Blueminus, or any successor or derivative thereof (the "Software"), You agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, do not download, install, or use any of CTRLWORK LTD's Software.

  1. License Grant

    1. Subject to the terms and conditions of this Agreement, CTRLWORK LTD hereby grants You a limited, non-exclusive, non-transferable, revocable license to install and use the Software on Your personal device(s) or within Your organization.
    2. Personal Use or Small-Business Use
      • The Software is licensed free of charge for:
        • Personal, non-commercial use by individuals; or
        • Commercial use by organizations with ten (10) or fewer total employees.
    3. Commercial Use Requiring License Purchase

      If You or Your organization has more than ten (10) employees, or if You otherwise use the Software for commercial purposes outside the scope of "personal use" (e.g., embedding in commercial products, SaaS offerings, or enterprise-scale deployments), You must purchase a valid commercial license from CTRLWORK LTD.

  2. License Restrictions

    You may not, and You may not permit any third party to:

    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is expressly prohibited by applicable law;
    • Modify, translate, or create derivative works based on the Software;
    • Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer rights to the Software;
    • Remove or alter any proprietary notices or labels on the Software;
    • Use the Software in any unlawful manner or in violation of any applicable laws or regulations.

  3. Ownership

    The Software and all intellectual property rights therein are and shall remain the exclusive property of CTRLWORK LTD and its licensors.

    CTRLWORK LTD reserves all rights not expressly granted in this Agreement.

  4. Fees and Payment

    1. Free Use.
      1. No fee is due for personal use or use by organizations with ten (10) or fewer employees.
    2. Commercial Licenses.
      1. For all other use cases, You must purchase a license at the then-current rates published on CTRLWORK LTD’s website or as otherwise agreed in writing. Payments are non-refundable once made.

  5. Support

    CTRLWORK LTD may, but is not obligated to, provide You with support or maintenance services related to the Software at its sole discretion and subject to a separate support agreement.

  6. Disclaimer of Warranties

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND CTRLWORK LTD AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  7. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CTRLWORK LTD OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CTRLWORK LTD’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR A COMMERCIAL LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

  8. Indemnification

    You agree to indemnify, defend, and hold harmless CTRLWORK LTD, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to Your use of the Software or any breach of this Agreement.

  9. Term and Termination

    1. Term.
      1. This Agreement is effective until terminated.
    2. Termination by You.
      1. You may terminate this Agreement at any time by deleting all copies of the Software.
    3. Termination by CTRLWORK LTD.
      1. CTRLWORK LTD may terminate this Agreement immediately if You breach any provision of this Agreement or fail to pay any applicable fees. Upon termination, You must cease all use of the Software and destroy all copies.

  10. Export Controls

    You agree to comply with all applicable export laws and regulations of the United Kingdom and any other relevant jurisdictions.

  11. Governing Law and Dispute Resolution

    This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflicts of law principles. Any dispute arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of London, England.

  12. Entire Agreement

    This Agreement constitutes the entire agreement between You and CTRLWORK LTD concerning the Software and supersedes all prior or contemporaneous agreements, proposals, or communications, whether oral or written, concerning the subject matter hereof.
